Acceptance of Terms
By accessing or using ToolEquip ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use the Service. These terms apply to all visitors, users, and others who access or use the Service.
Account Terms
You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during the registration process and keep your account information updated. You may not create multiple accounts or share accounts across organizations without authorization. You must notify us immediately of any unauthorized use of your account.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to: use the Service in any way that violates applicable laws or regulations; impersonate any person or entity; engage in any activity that interferes with or disrupts the Service; attempt to gain unauthorized access to any part of the Service; upload or transmit viruses, malware, or any malicious code; use the Service to store or transmit infringing, defamatory, or otherwise unlawful material; or exceed any usage limits or restrictions associated with your plan.
Payment Terms
Paid plans are billed in advance on a monthly or annual basis as selected during subscription. All payments are non-refundable except as expressly stated in our refund policy. We use third-party payment processors and do not store your full payment information. Prices are subject to change with 30 days notice; price increases will not apply during your current billing period. Late payments may result in suspension of access to the Service. You are responsible for all taxes associated with your subscription.
Termination
You may cancel your account at any time from your account settings or by contacting our support team. Upon cancellation, your subscription will remain active until the end of your current billing period. We may suspend or terminate your access to the Service if you violate these Terms, if your payment is past due, or if we determine that your use of the Service poses a security or legal risk. Upon termination, your data will be retained for 30 days before being permanently deleted. You may request a data export within that window.
Limitation of Liability
To the maximum extent permitted by law, ToolEquip and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total liability for any claims under these Terms shall not exceed the amount you have paid us in the twelve months preceding the claim. This limitation does not apply to liability for gross negligence, fraud, or intentional misconduct.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco, California. You waive any objection to the personal jurisdiction of and venue in such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
